7.2. The Agreement may be terminated early:

7.2.1. At any time by mutual agreement of the Parties;

7.2.2. At the initiative of either Party if the other Party breaches the terms of the Agreement, upon written notice to the other Party. In this case, the Agreement is deemed terminated when the Party in breach receives the relevant written notice from the other Party;

11.2. If a dispute cannot be resolved through negotiations, it is resolved in court.

12. Force majeure

12.1. The Parties are released from liability for partial or complete failure to perform, or improper performance of, their obligations under this Agreement if such failure or improper performance results from force majeure, meaning extraordinary and unavoidable circumstances that the Parties could neither foresee nor prevent. These include fires, floods, earthquakes, strikes, mass disturbances, rebellions, wars, actions of state authorities and other circumstances that make it impossible for the Parties to perform their obligations under the Agreement, provided that those circumstances directly affect the performance of those obligations.

12.2. If force majeure circumstances arise during the term of this Agreement, performance of obligations under the Agreement is postponed for the duration of those circumstances.

12.3. A Party unable to perform its obligations under the Agreement must notify the other Party in writing immediately, but no later than 3 (three) calendar days after the force majeure circumstances arise. The same applies when those circumstances end. Late notification of the onset of force majeure deprives the relevant Party of the right to subsequently rely on those circumstances as grounds for release from liability for complete or partial failure to perform, or improper performance of, its obligations under this Agreement. The occurrence of force majeure must be confirmed by a certificate from the relevant competent authority.
